A contract sent by email, printed, signed, scanned and returned may feel familiar, but it creates avoidable delays and leaves key questions unanswered. Which version was signed? Did every party receive the same document? Can you prove who signed it and when? A well-designed legal document signing process answers those questions before they become a problem.
For European businesses, the aim is not simply to collect a signature quickly. It is to create a clear, repeatable workflow that fits the document’s risk level, gives signers an uncomplicated experience and produces evidence that will stand up to scrutiny. That is where electronic signatures, used correctly, can make routine business paperwork faster without weakening legal certainty.
Start with the document, not the software
The right signing process depends on what is being signed and the consequences if it is challenged. An employee policy acknowledgement and a high-value financing agreement should not automatically follow the same route.
Begin by categorising your documents. Consider their legal importance, the financial or operational risk involved, whether a specific form is required by law, and whether you need to establish the signer’s identity to a high level of confidence. Some documents may also be subject to local rules or sector-specific requirements. If you are handling property transactions, certain corporate filings or documents requiring notarisation, obtain appropriate legal advice before setting up the workflow.
For most commercial agreements, HR documents, supplier onboarding forms and internal approvals, an electronic signature workflow is appropriate. The question is then what level of signature and evidence is proportionate.
Choose the right electronic signature level
Under eIDAS, electronic signatures are recognised across EU member states. The regulation defines three common levels, each suited to different circumstances.
A Simple Electronic Signature, or SES, can include a typed name, a tick-box confirmation or a signature drawn on screen. It is often suitable where the risk is lower and the wider evidence around the transaction is clear.
An Advanced Electronic Signature, or AES, provides stronger assurance. It is uniquely linked to the signer, capable of identifying them, created under their sole control and linked to the signed document so that later changes can be detected. For many business teams, AES is the practical choice for agreements where identity, integrity and an audit trail matter.
A Qualified Electronic Signature, or QES, is an advanced signature created using a qualified device and backed by a qualified certificate. It has the equivalent legal effect of a handwritten signature throughout the EU. QES can be the right route for higher-risk transactions or where a counterparty, regulator or local law specifically requires it.
There is no universal rule that says every document needs QES. Requiring the highest assurance level for every routine form can add friction, cost and abandonment. Equally, relying on a basic signature for a sensitive agreement may not provide enough evidence. The sensible approach is to define a signing policy that links document categories to a signature level.
Prepare one final, controlled document
A legal document signing process is only reliable when the version presented to each signer is controlled. Before sending, confirm that the commercial terms, dates, schedules and approvals are complete. Make sure the person preparing the document is not working from an outdated template or an attachment copied from an old email thread.
Templates are particularly useful for recurring documents such as employment offers, client engagement letters, data-processing agreements and purchase approvals. They reduce manual work and help teams use consistent wording. However, a template should not remove review: variable fields, amounts, names and governing-law clauses still need checking before issue.
Add the required fields in the right places. This may include signatures, initials, dates, names, company details, checkboxes and free-text inputs. Automatic field detection can speed up preparation, but it should be treated as an assistant rather than a final reviewer. A quick check before sending prevents a signer reaching the end of a document only to find that a mandatory field was missed.
Set the signing order and permissions
Multi-party documents often need more than a list of email addresses. They need a deliberate sequence. For example, a sales manager may approve a discount before a customer signs; an HR lead may review an employment agreement before the director executes it; or two directors may need to sign on behalf of the same company.
Decide whether signers should act in a fixed order or in parallel. Sequential signing gives more control and is useful where one signature is conditional on another. Parallel signing is quicker where parties can sign independently. Also decide who receives copies, who can view progress and who can send reminders.
Authority matters as much as identity. A platform can help demonstrate that an individual signed, but it cannot by itself prove that the individual had authority to bind their organisation. For material agreements, establish who is authorised to sign for each party and retain that confirmation within your deal or contract record.
Give signers clear instructions
Most signing delays are operational rather than legal. A recipient may not recognise the sender, may not understand why they are being asked to sign, or may assume the email is suspicious.
Use a short, specific message that names the document, explains any deadline and tells the signer what will happen next. If identity verification or QES is required, say so upfront. Signers are far more likely to complete the process when they know why an extra step is necessary.
Keep the experience proportionate. A routine supplier acknowledgement should not require the same checks as a board-level agreement. But do not sacrifice clarity for speed. The signing interface should make required actions obvious, prevent submission with missing fields and allow the signer to review the full document before completing their signature.
Capture evidence as the document is signed
The completed PDF is not the whole record. If a signature is questioned later, the supporting evidence is often what matters most. Your system should preserve a tamper-evident audit trail showing the document lifecycle.
A useful audit trail typically records when the document was created and sent, the recipients involved, authentication or verification events, timestamps for viewing and signing, the signature method used, and the final document status. It should also show whether the signed file has been altered after completion.
This evidence should be generated automatically, rather than assembled manually after the event. Manual records are easy to misfile and difficult to defend. A proper electronic signing platform keeps the signed document and audit information connected, providing a single source of truth for the transaction.
Track progress without chasing inboxes
Once a document has been sent, someone should be able to see whether it is awaiting a signer, partially complete, declined, expired or fully executed. That visibility is valuable for finance teams waiting on approvals, HR teams managing onboarding and operations teams coordinating supplier paperwork.
Set sensible reminders and expiry dates. Too many reminders can frustrate recipients, while no reminders leave documents sitting unnoticed. The right cadence depends on urgency and the relationship with the signer. A time-sensitive contract may need a reminder after one working day; an internal policy acknowledgement may allow longer.
If a recipient declines or reports an error, stop and correct the source document where necessary. Do not try to patch a signed agreement through informal email exchanges. Where material terms change, issue a new version and restart the relevant signing steps so the evidence remains clear.
Store completed documents for retrieval and retention
A signed agreement that cannot be found quickly is not operationally useful. Completed documents should be organised by document type, client, employee, project or department, with clear ownership and retention rules.
Access controls are essential. HR records, commercial terms and identification data should only be available to people who need them. For businesses handling personal data, GDPR responsibilities apply to the wider workflow: choose providers that process data appropriately, minimise collection, define retention periods and make it possible to respond to legitimate access or deletion requests.
For European teams, EU-only hosting can be a meaningful consideration where data sovereignty, customer expectations or internal policy require it. It does not replace sound access controls and retention practices, but it can simplify your compliance position.
Make the process repeatable
The best legal document signing process is not dependent on one careful administrator remembering every step. Write down your policy, assign responsibilities and build common document types into reusable workflows. Review the process when regulations, internal authorisation rules or business risks change.
